1. Agreement & Scope

These Terms of Service ("Terms") constitute a legally binding agreement between GSMXCODE LLC, a limited liability company organized under the laws of the State of New Mexico, United States ("GSMXCODE," "Company," "we," "us," or "our"), and the individual or legal entity accessing or purchasing our Services ("Customer," "you," or "your").

These Terms govern your access to and use of gsmxcode.com, www.gsmxcode.com, customer dashboards, APIs, software interfaces, documentation, and related GSMXCODE services (collectively, the "Platform").

The Services covered by these Terms are products and business technology services supplied directly by GSMXCODE and specifically identified on the applicable product page, including SaaS subscriptions, APIs, diagnostic tools, software utilities, software licences, device information services, authorized technical services, and defined usage packages.

3. Eligibility & Account

3.1 Eligibility

You must have legal capacity to enter into this Agreement. If you access or purchase Services on behalf of a company, organization, or other legal entity, you represent that you are authorized to bind that entity.

Our Services are designed primarily for commercial, professional, development, technical, and business use. Certain Services may have additional eligibility or licensing requirements stated on the applicable product page.

3.2 Accurate Information

You agree to provide accurate, complete, and current information during registration, checkout, account verification, subscription management, and support interactions.

We may request additional information when reasonably necessary to verify an account, prevent fraud, investigate a payment, resolve a billing issue, satisfy legal requirements, or meet the requirements of our payment and financial service providers.

3.3 Account Security

You are responsible for protecting your password, API keys, access tokens, authentication credentials, and other account security information.

You must promptly notify GSMXCODE if you believe your account or credentials have been compromised.

3.4 Business Customers

Business customers are responsible for ensuring that their employees, contractors, developers, and other authorized users comply with these Terms and any applicable Service-specific requirements.

4. Services & Digital Delivery

4.1 SaaS Services

GSMXCODE may provide software applications and hosted services on a subscription basis. Access periods, usage limits, features, and pricing are stated on the applicable product or pricing page.

4.2 API Services

GSMXCODE may provide HTTPS-based APIs through which customers can submit authorized requests and receive structured digital responses.

API availability, rate limits, request limits, supported parameters, response formats, usage allowances, and technical requirements are described in the relevant API documentation or product page.

4.3 Software, Diagnostic Tools & Developer Tools

Where GSMXCODE provides downloadable, browser-based, or hosted software, diagnostic utilities, scripts, templates, developer tools, or related technical products, the customer receives the licence or access rights expressly stated for that product.

4.4 Authorized Device & Technical Services

Certain GSMXCODE services may support legitimate device diagnostics, device-information requests, repair workflows, eligibility checks, or carrier-authorized technical services. Any such service is subject to the eligibility, authorization, licensing, manufacturer, carrier, supplier, and technical requirements stated on its product page.

GSMXCODE does not offer services intended to defeat ownership controls, anti-theft protections, financing restrictions, access controls, or lawful carrier or manufacturer restrictions.

4.5 Digital Fulfillment

Digital Services are normally delivered electronically. Depending on the product, delivery may occur through:

• Customer dashboard access;
• API credentials or API access;
• software download or license delivery;
• activation of a subscription or service plan;
• secure electronic delivery; or
• another digital mechanism expressly described on the applicable product page.

A Service is considered digitally delivered when GSMXCODE has made the purchased access, software, credentials, subscription, API capacity, or digital output available to the Customer in the manner specified for that Service.

4.5 Availability

We use commercially reasonable measures to maintain the availability and reliability of our Services. However, we do not guarantee uninterrupted or error-free operation. Service availability can be affected by maintenance, infrastructure failures, upstream providers, Internet connectivity, security incidents, or circumstances outside our reasonable control.

5. API Usage Packages & Usage Units

5.1 Nature of API Usage Units

API Usage Units are service-specific consumption units representing the right to consume the applicable GSMXCODE API service.

API Usage Units are not:

• a bank account;
• a deposit account;
• electronic money;
• a payment instrument;
• a financial account;
• transferable money; or
• cash or cash-equivalent property; or
• a general-purpose monetary balance.

5.2 Restricted Use

API Usage Units may only be used to consume the applicable GSMXCODE API service and may not be:

• withdrawn or redeemed for cash;
• transferred to another customer;
• sold, assigned, or resold;
• used to purchase unrelated third-party goods or services; or
• used for any purpose other than the applicable GSMXCODE API Service.

5.3 Consumption

API Usage Units are consumed according to the pricing, usage measurement, request limits, or unit definitions published for the applicable API.

GSMXCODE may maintain server-side records of API requests, timestamps, authentication events, usage quantities, and other technical data necessary to measure Service consumption and investigate billing or dispute issues.

5.4 No General Wallet

GSMXCODE does not provide a general-purpose stored monetary-value wallet, person-to-person transfer system, or financial account. Any defined usage capacity described on the Platform is limited to the specific GSMXCODE Service for which it was purchased.

6. Payments & Billing

6.1 Payment Methods

GSMXCODE may make payment methods available through independent payment processors, acquiring institutions, banks, card networks, or other payment providers. GSMXCODE accepts customer payments for GSMXCODE products and Services and does not operate a general payment-collection or fund-transfer service for unrelated third-party sellers. Available payment methods may vary by jurisdiction, transaction, currency, risk controls, and provider availability.

6.2 Authorization

By submitting a payment, you represent that you are authorized to use the selected payment method.

Payment authorization does not eliminate the requirements of these Terms or the applicable Service-specific requirements.

6.3 Pricing

Prices are displayed at checkout or on the applicable product page. Unless otherwise stated, prices are denominated in United States Dollars (USD).

Applicable taxes may be calculated and collected where required by law or by the applicable payment or tax provider.

6.4 Subscriptions

Subscription products renew according to the billing interval shown at checkout until cancelled in the manner specified by GSMXCODE.

Where applicable, renewal prices, taxes, and billing details will be disclosed through the checkout or subscription interface.

6.5 Payment Provider Independence

GSMXCODE does not guarantee that every payment transaction will be approved. Payment providers may independently apply authentication, fraud screening, transaction limits, verification requirements, risk controls, or other procedures.

GSMXCODE may add, remove, or change payment methods without changing the Services themselves.

7. Cancellations & Refunds

7.1 Refund Policy

Refund eligibility is governed by the GSMXCODE Refund Policy, which forms part of these Terms.

7.2 Digital Service Consumption

Where a product consists of measurable digital consumption, refund eligibility may depend on whether the purchased capacity, API requests, subscription period, download, license, or other digital service has been consumed or delivered.

For example, where an API Usage Package has already been materially consumed, a refund may be limited to any unused portion where required or permitted by the applicable Refund Policy and law.

7.3 Mandatory Rights

Nothing in these Terms excludes or limits any refund, cancellation, chargeback, or consumer right that cannot lawfully be excluded under applicable law.

7.4 Chargebacks and Payment Disputes

Customers are encouraged to contact GSMXCODE support before initiating a payment dispute so that billing or fulfillment issues can be investigated and resolved where appropriate.

GSMXCODE may provide relevant transaction, account, usage, delivery, fulfillment, authorization, and customer-support records to the applicable payment provider when responding to a payment dispute.

8. Acceptable Use & Compliance

You may use the Platform and Services only for lawful purposes and in accordance with these Terms, the applicable product documentation, and any applicable third-party license terms.

8.1 Prohibited Conduct

You must not use the Platform or Services to:

• commit, facilitate, or conceal fraud or other unlawful activity;
• obtain unauthorized access to accounts, devices, systems, networks, software, or data;
• infringe intellectual property or other third-party rights;
• impersonate another person or entity;
• submit false or materially misleading information;
• circumvent payment-provider security controls, transaction limits, or fraud-prevention systems;
• interfere with or disrupt GSMXCODE infrastructure;
• introduce malware, malicious code, or harmful payloads;
• use APIs in a manner that violates published rate limits or technical restrictions; or
• alter, spoof, replace, or manipulate a device identifier or technical record except where expressly authorized and lawful for the documented repair or service purpose;
• use a device, account, identifier, or service without the ownership, authorization, licence, or other lawful right required for the requested Service;
• use the Services in violation of applicable law.

8.2 Authorized Data and Systems

Where a Service processes information relating to a device, account, software system, identifier, or other technical resource, you represent that you have the necessary ownership, authorization, license, contractual right, or other lawful basis to submit and process that information.

8.3 No Circumvention

GSMXCODE does not authorize or encourage unlawful circumvention of security controls, access controls, ownership restrictions, anti-theft protections, financing restrictions, licensing restrictions, or other lawful protections.

Any Service must be used only for the lawful and authorized purpose described on its applicable product page. Where a Service requires carrier, manufacturer, supplier, or other third-party authorization, the Customer must satisfy those requirements before requesting the Service.

9. Security & Fraud Prevention

GSMXCODE implements reasonable technical and operational controls intended to reduce fraud, unauthorized access, abuse, and payment-related risk.

Depending on the transaction or Service, these controls may include:

• account authentication;
• email verification;
• transaction monitoring;
• payment-provider risk controls;
• 3-D Secure or equivalent authentication where supported;
• API rate limiting;
• access logging;
• usage monitoring; and
• manual review of unusual transactions.

GSMXCODE may delay, decline, restrict, or request additional information for a transaction or account where reasonably necessary to address suspected fraud, security concerns, legal requirements, or payment-provider requirements.

10. Intellectual Property

GSMXCODE and its licensors retain all rights, title, and interest in and to the Platform, software, source code, documentation, APIs, designs, interfaces, databases, trademarks, logos, branding, and original content made available by GSMXCODE.

Subject to these Terms and the applicable product license, GSMXCODE grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to use the purchased Service for its intended purpose during the applicable access or subscription period.

Except as expressly permitted by applicable law or the applicable license, you may not:

• copy or redistribute GSMXCODE software;
• resell API access without written authorization;
• reverse engineer or decompile software except where such restriction is prohibited by applicable law;
• remove proprietary notices;
• scrape or systematically extract Platform data; or
• use GSMXCODE trademarks without written authorization.

11. Privacy & Data

GSMXCODE processes personal information in accordance with its Privacy Policy: /docs/privacy-policy

Depending on the Service, we may process information such as account identifiers, billing information, authentication records, API usage, technical metadata, device-related information submitted by the Customer, service-delivery records, security logs, and support communications.

Customers are responsible for ensuring that the information they submit to GSMXCODE may lawfully be processed for the requested Service and that they have obtained any necessary permissions from affected persons or organizations.

GSMXCODE maintains technical and administrative safeguards designed to protect information against unauthorized access, disclosure, alteration, or destruction. No Internet-based system can guarantee absolute security.

12. Disclaimers & Warranties

Except where expressly stated or required by applicable law, Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, GSMXCODE disclaims implied warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

GSMXCODE does not warrant that:

• the Platform will always be uninterrupted;
• every API request will succeed;
• third-party network, carrier, software, or infrastructure will remain available;
• Services will operate with every device, operating-system version, firmware version, configuration, or environment; or
• Services will achieve a particular commercial result.

Nothing in these Terms excludes a warranty, statutory right, or remedy that cannot lawfully be excluded.

13. Limitation of Liability

To the maximum extent permitted by applicable law, GSMXCODE LLC and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, business opportunities, data, goodwill, or anticipated savings arising from the use of or inability to use the Services.

To the maximum extent permitted by applicable law, GSMXCODE's aggregate liability arising from or related to a specific Service or transaction will not exceed the amount actually paid to GSMXCODE for the affected Service during the six (6) months preceding the event giving rise to the claim.

These limitations do not apply where prohibited by applicable law or to liabilities that cannot lawfully be limited.

14. Suspension & Termination

These Terms remain effective while you maintain an account, purchase a Service, or otherwise use the Platform.

GSMXCODE may suspend or terminate access where reasonably necessary because of:

• material violation of these Terms;
• fraud or suspected fraudulent activity;
• unauthorized access or account abuse;
• security threats;
• legal or regulatory requirements;
• payment-provider requirements;
• non-payment of amounts properly due; or
• circumstances requiring protection of the Platform, customers, or third parties.

Where reasonably practicable, GSMXCODE may provide notice and an opportunity to resolve the issue before termination. However, immediate action may be taken where required to protect customers, the Platform, payment systems, or legal interests.

Termination does not eliminate obligations relating to payments, refunds, intellectual property, confidentiality, security, disputes, or other provisions that by their nature survive termination.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws rules, except to the extent mandatory law in the Customer's jurisdiction requires otherwise.

Customers should first contact GSMXCODE support to attempt to resolve billing, service, or account disputes informally.

Any arbitration provision, class-action waiver, venue provision, or other dispute mechanism that applies to a particular Customer will apply only to the extent enforceable under applicable law.

Nothing in these Terms is intended to remove a non-waivable statutory right or consumer remedy.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, Service Policy, product-specific terms, and other expressly incorporated policies, constitute the agreement governing use of the applicable Services.

16.2 Severability

If any provision is determined to be invalid or unenforceable, it will be modified or limited to the minimum extent necessary and the remaining provisions will continue in effect.

16.3 No Waiver

Failure to enforce a provision does not constitute a waiver of the right to enforce that provision later.

16.4 Assignment

You may not assign this Agreement without our prior written consent, except where such restriction is prohibited by law. GSMXCODE may assign this Agreement in connection with a merger, acquisition, reorganization, financing, or transfer of substantially all relevant business assets.

16.5 Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through reasonable means where required by applicable law. The current version will remain available on the Platform.

16.6 Electronic Agreement

You agree that electronic acceptance, account creation, checkout confirmation, or continued use of the Platform may constitute electronic acceptance of these Terms to the extent permitted by applicable law.
